Welcome to BagUp ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the BagUp platform, including our website, mobile applications, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Service Description

BagUp is a Name, Image, and Likeness (NIL) valuation platform designed specifically for high school athletes. Our Service provides:

• Bag Index Calculator: A proprietary algorithm that calculates an athlete's NIL value based on performance metrics, social media presence, academic standing, and market factors.
• Performance Tracking: Tools to monitor and analyze athletic statistics across multiple sports (Football, Basketball, Baseball).
• Financial Literacy Resources: Educational materials about NIL fundamentals, contracts, and personal branding.
• AI-Powered Training: Personalized development plans and scenario analysis tools.
• Comparison Tools: Benchmarking against professional athletes and peers.

3. User Eligibility

To use our Service, you must meet the following requirements:

• Be a high school student-athlete, or a parent/guardian of a high school student-athlete.
• Be at least 13 years of age. Users under 18 must have parental or guardian consent to use the Service.
• Provide accurate and complete registration information.
• Maintain the security of your account credentials.

4. Account Registration

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

• Safeguarding your password and account access.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized use of your account.
• Ensuring that your account information remains current and accurate.

5. Subscription and Payment Terms

BagUp offers subscription-based access to our premium features:

• Free Trial: New users receive a 14-day free trial with full access to premium features. No credit card is required to start the trial.
• Subscription Tiers: We offer multiple subscription tiers with varying levels of access and features. Pricing is displayed on our pricing page.
• Billing: Subscriptions are billed monthly. Payment is processed securely through Stripe, our third-party payment processor.
• Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period.
• Refunds: We do not provide refunds for partial months or unused features.

For athletes under 18, subscription payments must be made by a parent or guardian.

6. User Content and Data

You retain ownership of all content you submit to the Service, including athletic statistics, photos, and profile information ("User Content"). By submitting User Content, you grant BagUp a non-exclusive, worldwide, royalty-free license to use, display, and process your content for the purpose of providing the Service.

You represent and warrant that your User Content does not violate any third-party rights and complies with all applicable laws.

7. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Submit false, misleading, or inaccurate information.
• Impersonate any person or entity.
• Interfere with or disrupt the Service or servers.
• Attempt to gain unauthorized access to any part of the Service.
• Use automated systems to access the Service without our permission.
• Collect or harvest user data without authorization.
• Use the Service to send spam or unsolicited communications.

8. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by BagUp and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Bag Index algorithm, scoring methodology, and related analytics are proprietary to BagUp. You may not copy, modify, distribute, sell, or lease any part of our Service without our written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT:

• The Service will be uninterrupted or error-free.
• The Bag Index calculations will result in actual NIL deals or earnings.
• The valuations provided are definitive or guarantee any specific outcome.

BagUp provides educational and analytical tools. We are not a licensed financial advisor, agent, or broker. The Bag Index is an estimate based on available data and should not be considered financial advice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAGUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. You may request deletion of your data in accordance with our Privacy Policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of the applicable jurisdiction.
